1. Our Services

Superior Vids provides video production and creative services that may include:

• Video advertising
• UGC-style content
• Spokesperson videos
• Scriptwriting
• Creative strategy
• Casting and talent sourcing
• Video production
• Video editing
• Ad creative variations
• Hooks and alternate versions
• Photography
• Creative consulting
• Other related production and marketing services

The specific deliverables, pricing, timeline, usage rights, and other project requirements may be described in a proposal, invoice, order form, statement of work, email, platform order, or other written communication between Superior Vids and the client.

If project-specific terms conflict with these Terms, the project-specific written agreement will control for that project.

2. Client Responsibilities

You agree to provide Superior Vids with the information, materials, instructions, approvals, access, products, and other resources reasonably necessary to complete your project.

You are responsible for ensuring that all information you provide is accurate and that you have the legal right to provide any materials submitted to us.

Delays in providing materials, feedback, approvals, products, account access, or other required information may result in changes to the project timeline.

Superior Vids is not responsible for delays caused by the client, shipping carriers, third-party platforms, talent availability, technical issues outside our reasonable control, or other circumstances beyond our control.

3. Client-Provided Scripts, Claims, and Materials

You are responsible for the legality, accuracy, and substantiation of any claims, statements, scripts, statistics, testimonials, offers, trademarks, music, images, footage, product information, or other materials you provide to Superior Vids.

This includes, without limitation, advertising claims regarding:

• Health or medical benefits
• Financial performance
• Earnings or income
• Product performance
• Legal outcomes
• Business results
• Testimonials
• Customer experiences
• Comparative claims

Superior Vids does not independently verify every claim contained in client-provided materials.

By providing materials or instructions to us, you represent and warrant that their use will not violate any law, regulation, advertising standard, intellectual-property right, privacy right, publicity right, contractual obligation, or other third-party right.

Superior Vids may refuse to film or produce content that we reasonably believe is deceptive, unlawful, unsafe, defamatory, infringing, or otherwise inappropriate.

4. Spokesperson and Talent Statements

Unless expressly agreed otherwise in writing, actors, creators, and spokespersons appearing in Superior Vids productions are performing scripted or directed content.

Their appearance in a video does not necessarily mean that they personally use, endorse, recommend, or have experienced the advertised product or service.

Clients may not represent an actor or spokesperson as an actual customer, patient, employee, founder, licensed professional, expert, or user of a product or service unless Superior Vids has expressly agreed to that representation in writing and it is factually accurate.

Clients may not alter, edit, caption, dub, or otherwise modify footage in a manner that materially changes the meaning of a spokesperson's statements or falsely attributes statements, experiences, credentials, or endorsements to that person.

5. Pricing and Payment

All prices are stated in U.S. dollars unless otherwise specified.

Payment terms will be stated in the applicable proposal, invoice, order form, or platform order.

Unless otherwise agreed in writing, payment is required before production begins.

Superior Vids may pause or decline work until required payments have been received.

Additional work requested beyond the originally agreed scope may require additional payment.

Examples include:

• Additional videos
• Additional hooks
• Alternate scripts
• Additional actors
• Additional filming locations
• Additional aspect ratios
• Additional editing
• Rush delivery
• Additional revisions
• Reshoots
• Raw footage
• Extended licensing or usage rights

6. Project Scope

Your project includes only the deliverables specifically agreed upon in writing.

Requests that materially change the original concept, script, filming requirements, actors, location, editing style, runtime, deliverables, or other project specifications may be treated as a change in scope and may require an additional fee.

Superior Vids will notify you when a request falls outside the original scope whenever reasonably practical.

7. Revisions

Unless otherwise stated in your project agreement, one reasonable round of revisions is included for completed edited video projects.

A revision means an adjustment to work already completed based on the originally approved instructions.

Revisions do not include:

• A new script
• A substantially rewritten script
• A new concept
• A new creative direction
• A different actor
• A different wardrobe or appearance
• A different filming location
• Newly requested scenes
• Newly requested footage
• Changes to instructions previously approved by the client
• Reshoots resulting from client changes

These requests may require an additional fee.

Revision requests should be consolidated whenever reasonably possible.

8. Script Approval and Reshoots

Clients are responsible for reviewing and approving scripts before filming.

Once filming has occurred, changes to an approved script may require a paid reshoot.

If Superior Vids makes a material filming error or fails to follow the approved script or agreed instructions, we will reasonably correct the affected portion without additional charge.

Personal preferences that were not communicated before filming generally do not constitute production errors.

9. Products Provided for Filming

If your project requires a physical product, you are responsible for shipping the product to the address provided by Superior Vids.

Unless otherwise agreed in writing, products sent for production are not guaranteed to be returned.

If you require a product to be returned, this must be agreed upon before shipping, and you may be responsible for return shipping and handling costs.

Superior Vids is not responsible for products lost or damaged by shipping carriers before they are received by us or after they have been transferred to a return carrier.

10. Delivery Timelines

Any delivery date provided by Superior Vids is an estimate unless expressly identified in writing as a guaranteed deadline.

Production timelines may depend on factors including:

• Receipt of payment
• Script approval
• Product delivery
• Client feedback
• Actor availability
• Location availability
• Production complexity
• Revision requests

A delay caused by the client may extend the delivery deadline.

Rush delivery may be available for an additional fee.

11. Cancellation

Because Superior Vids reserves production time, hires talent, develops concepts, writes scripts, purchases materials, and performs other preparatory work before final delivery, payments may become non-refundable once work has begun.

Unless otherwise specified in writing:

• If a project is canceled before any work begins, Superior Vids may refund amounts paid less any non-refundable processing fees or expenses already incurred.
• If work has begun, Superior Vids may retain an amount reasonably corresponding to work completed, production time reserved, talent costs, expenses incurred, and other committed project costs.

Once filming has occurred, production fees are generally non-refundable.

Third-party expenses, talent fees, location fees, shipping costs, purchases made specifically for the project, and similar costs are non-refundable once incurred.

12. Refunds and Chargebacks

If you believe there is an issue with your project or payment, you agree to contact Superior Vids and give us a reasonable opportunity to resolve the issue before initiating a payment dispute or chargeback.

A chargeback does not eliminate amounts legitimately owed under these Terms.

Superior Vids reserves the right to provide proposals, invoices, communications, delivered work, approvals, project files, and other relevant documentation to banks, payment processors, marketplaces, or other parties involved in resolving a payment dispute.

13. Intellectual Property

Client Materials

You retain ownership of intellectual property you owned before providing it to Superior Vids.

You grant Superior Vids a limited license to use those materials as reasonably necessary to perform the Services.

Superior Vids Materials

Superior Vids retains ownership of its pre-existing intellectual property, processes, systems, templates, workflows, production methods, creative frameworks, internal documents, know-how, and other proprietary materials.

Purchasing a project does not transfer ownership of Superior Vids' underlying business systems or production methods.

Final Deliverables

The rights granted to you for completed deliverables will depend on the scope and licensing terms agreed upon for your project.

Unless otherwise specified in writing, usage rights apply only to the final delivered content and do not automatically include ownership of raw footage, unused takes, project files, editing files, source files, templates, or other production assets.

14. Advertising Usage

Unless otherwise agreed in writing, completed client videos may be used by the client for the advertising, marketing, website, social-media, and promotional purposes included within the project agreement.

Usage rights may be limited by:

• Time period
• Platform
• Geography
• Paid versus organic advertising
• Talent agreements
• Third-party licensing
• Media spend
• Exclusivity agreements

If your project includes specific usage restrictions, those restrictions will be stated separately.

Clients are responsible for ensuring they possess appropriate usage rights before continuing to use content after an agreed licensing period expires.

15. Raw Footage and Project Files

Raw footage, source footage, unused takes, editing timelines, project files, graphics packages, templates, and other production materials are not included unless expressly stated in your project agreement.

If raw footage is purchased or provided, the client must still comply with applicable talent usage restrictions and may not use footage in a deceptive, defamatory, unlawful, or materially misleading manner.

16. Portfolio Rights

Unless the client and Superior Vids agree otherwise in writing before production, Superior Vids may display completed work for reasonable self-promotional purposes, including:

• Our website
• Portfolio
• Social-media accounts
• Sales presentations
• Marketplace profiles
• Demo reels
• Private pitches to prospective clients

We will not intentionally disclose confidential information that is not already publicly visible through the finished content.

Clients requiring confidentiality, an embargo, white-label production, or prohibition on portfolio use must arrange those terms in writing.

17. Advertising Results

Superior Vids produces creative content and may provide creative strategy or recommendations.

However, we do not guarantee:

• Sales
• Leads
• Revenue
• Return on ad spend
• Conversion rates
• Click-through rates
• Advertising approval
• Platform performance
• Virality
• Audience growth
• Profitability
• Any specific business outcome

Advertising performance depends on many factors outside our control, including the client's offer, product, website, pricing, targeting, media buying, market conditions, competition, reputation, customer experience, and advertising platform algorithms.

Past performance does not guarantee future results.

18. Advertising Platform Approval

Superior Vids does not guarantee that Meta, TikTok, Google, YouTube, Amazon, LinkedIn, or any other advertising or social-media platform will approve or continue to approve any advertisement.

Platform policies may change without notice.

Clients are responsible for ensuring their advertising campaigns, landing pages, offers, products, services, and claims comply with applicable platform policies and laws.

19. Third-Party Services

Superior Vids may use third-party tools, contractors, actors, editors, software providers, cloud-storage platforms, payment processors, artificial-intelligence tools, and other service providers in connection with our Services.

We are not responsible for interruptions, security incidents, policy changes, outages, or other failures caused by third-party services outside our reasonable control.

20. Acceptable Use

You may not use our website, Services, creators, employees, contractors, or deliverables to:

• Violate applicable law
• Commit fraud
• Mislead consumers
• Defame another person or company
• Infringe intellectual-property rights
• Harass or threaten any person
• Promote illegal products or services
• Falsely impersonate another person
• Create materially deceptive endorsements
• Misrepresent the identity or qualifications of an actor
• Use content outside agreed licensing restrictions

Superior Vids may refuse or terminate projects that violate this section.

21. Confidentiality

Each party may receive confidential or proprietary information from the other in connection with a project.

Each party agrees to use reasonable care to protect confidential information and to use such information only as necessary to perform or receive the Services.

Confidential information does not include information that:

• Is publicly available through no breach of these Terms
• Was already lawfully known by the receiving party
• Was independently developed
• Was lawfully received from a third party
• Must be disclosed by law or legal process

Specific confidentiality or nondisclosure agreements may supersede this section.

22. Website Accounts and Security

If you create an account with Superior Vids, you are responsible for maintaining the confidentiality of your login credentials.

You are responsible for activity conducted through your account.

You agree to provide accurate and current information when creating an account or purchasing Services.

You may not attempt to access our systems through unauthorized, automated, deceptive, or unlawful means.

23. Website Content

The Superior Vids website, including its text, branding, graphics, videos, design elements, logos, processes, and original content, is owned by or licensed to Superior Vids and is protected by applicable intellectual-property laws.

You may not copy, reproduce, republish, sell, redistribute, scrape, or commercially exploit our website content without permission, except where permitted by law.

24. User-Submitted Content

If you voluntarily submit reviews, testimonials, comments, feedback, or other public-facing content to Superior Vids, you retain ownership of your content.

You grant Superior Vids a non-exclusive, worldwide, royalty-free license to display, reproduce, and use that content in connection with operating and promoting Superior Vids.

This license does not transfer ownership of your underlying intellectual property to Superior Vids.

You represent that you have the right to submit the content and that its use will not violate the rights of another party.

25. Disclaimer of Warranties

To the fullest extent permitted by law, our website and Services are provided on an “as is” and “as available” basis.

We do not warrant that:

• Our website will always be available or error-free
• Every project will produce a particular commercial result
• Third-party platforms will accept client advertising
• Information available through our website will always be complete or current
• Third-party services will function without interruption

Nothing in this section limits rights that cannot lawfully be waived.

26. Limitation of Liability

To the fullest extent permitted by law, Superior Vids and its owners, officers, employees, contractors, actors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost advertising spend, lost data, or lost business opportunities arising from the use of our Services.

To the fullest extent permitted by law, Superior Vids' total liability arising from a particular project will not exceed the amount actually paid to Superior Vids for the specific project giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

27. Indemnification

You agree to indemnify and hold harmless Superior Vids, its owners, officers, employees, contractors, creators, actors, affiliates, and agents from third-party claims, liabilities, damages, losses, and reasonable legal expenses arising from:

• Materials you provide to us
• Claims or statements you instruct us to include
• Your product or service
• Your advertising campaigns
• Your violation of applicable law
• Your infringement of another party's rights
• Your misuse or unauthorized modification of delivered content
• Your breach of these Terms

Superior Vids will remain responsible for claims arising directly from our own unlawful conduct to the extent required by law.

28. Force Majeure

Superior Vids will not be liable for delays or failures caused by events reasonably beyond our control, including natural disasters, severe weather, illness, government actions, power failures, internet outages, equipment failures, shipping disruptions, labor disruptions, war, terrorism, epidemics, or failures of third-party platforms or service providers.

We will make reasonable efforts to resume performance when practicable.

29. Termination

Superior Vids may suspend or terminate Services if a client:

• Fails to make required payments
• Violates these Terms
• Engages in abusive, threatening, fraudulent, or unlawful conduct
• Requests unlawful or deceptive content
• Repeatedly exceeds or materially changes the agreed scope without authorization

Termination does not eliminate payment obligations for Services already performed or costs already incurred.

30. Privacy

Our collection and use of personal information is governed by the Superior Vids Privacy Policy.

Our Privacy Policy should be reviewed together with these Terms.

31. Changes to These Terms

We may update these Terms periodically.

The “Last Updated” date at the top of this page will reflect the most recent revision.

Material changes will apply prospectively unless otherwise required by law.

Your continued use of the website or Services after updated Terms become effective constitutes acceptance of the revised Terms.

32. Governing Law

These Terms will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Unless otherwise required by applicable law or agreed in writing, disputes arising from these Terms or the Services will be brought in the appropriate state or federal courts located in Hillsborough County, Florida.

Each party consents to the jurisdiction of those courts.

33. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.

34. No Waiver

Failure by Superior Vids to enforce any provision of these Terms does not waive our right to enforce that provision later.

35. Entire Agreement

These Terms, together with any applicable proposal, invoice, statement of work, order form, licensing agreement, Privacy Policy, and other written project-specific agreement, constitute the agreement between you and Superior Vids regarding the Services.
